TERMS AND CONDITIONS OF SALE (TCS)

2. Purpose
These Terms and Conditions of Sale govern the provision of Vendor Due Diligence services in technology and product assessments offered by YUKI to professional clients within the European Union.
3. Order process
Each service is subject to a personalized quotation. The order becomes firm and binding upon written acceptance of the quotation by the client (including by email), with the phrase “Approved” or “Agreed” and a signature.
4. Pricing and payment terms
All prices are provided in the quotation and expressed excluding taxes (VAT).
Payment must be made via bank transfer to the account specified on the invoice.
No discounts apply for early payment. Late penalties apply in accordance with Article L441-10 of the French Commercial Code.
5. Delivery timeframe and method
Deliverables are sent by email within an indicative timeframe of 15 business days from the official project start date (validation of the quotation and reception of required information).
6. No right of withdrawal or refund
As per applicable EU law between professionals, no withdrawal period applies. Orders are final and non-refundable once confirmed.
7. Liability
YUKI undertakes to perform its services with due care and professionalism. Its liability is limited to direct damages caused by proven fault in service execution.
YUKI is covered by a professional liability insurance policy.
